Terms of Service

Welcome to Due Dili, operated by Alex M. doing business as Due Dili. By accessing or using the Due Dili platform at myduedili.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute the entire agreement between you and Due Dili regarding the use of the Service. By continuing to use the Service after changes are made, you accept the revised Terms.

1. Acceptance of Terms

You must be at least 18 years of age to use the Service. By using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Service.

By creating an account or using the Service in any way, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you agree to these Terms on behalf of that organization and confirm that you have the authority to do so.

2. Accounts

To access certain features of the Service, you will need to create an account. When creating an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify Due Dili immediately of any unauthorized use of your account. Due Dili shall not be liable for any loss or damage arising from your failure to secure your account.

Due Dili reserves the right to terminate or suspend accounts at its sole discretion, without notice, for conduct that violates these Terms or that is deemed harmful to other users or the platform.

3. Subscription Plans & Payments

Due Dili offers the following subscription tiers:

All payments are processed through Stripe. Subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to Premium or Pro features until that date.

Refund Policy: Due Dili does not offer refunds for subscription charges. If you believe you have been charged in error, please contact us at support@myduedili.com within 5 business days of the charge. We reserve the right to issue refunds on a case-by-case basis.

Due Dili reserves the right to modify pricing at any time. Changes to pricing will be communicated to you in advance, and continued use of the Service after the change takes effect constitutes acceptance of the new pricing.

4. User-Uploaded Content

The Due Dili platform allows users to upload documents related to real estate properties, including but not limited to inspection reports, appraisals, disclosures, tax records, and other property-related documentation (collectively, "User Content").

By uploading content to the Service, you agree to the following:

• You retain full ownership of your uploaded content.
• You grant Due Dili a non-exclusive, worldwide, royalty-free license to store, process, display, and distribute your content solely for the purpose of operating the Service.
• You confirm that you have the legal right to upload the content and that it does not violate any third-party rights.
• You understand that uploaded documents are intended to be publicly viewable on the platform, consistent with Due Dili's mission of real estate transparency.
• You acknowledge that Due Dili will process your documents through AI-powered systems to automatically redact personally identifiable information (PII). See Section 5 for details.
• You are solely responsible for the accuracy, completeness, and legality of any content you upload.

Due Dili reserves the right to remove any User Content that violates these Terms, applicable law, or that is reported by other users, at its sole discretion and without notice.

5. AI Processing & PII Redaction

Due Dili uses Google Vision API to automatically scan uploaded documents and redact personally identifiable information (PII) before documents are made publicly available. This process may include the redaction of names, addresses, Social Security Numbers, phone numbers, email addresses, and financial details.

Important Disclaimer: AI-powered redaction is a best-effort automated process and is not guaranteed to be perfect. Some PII may not be detected or fully redacted. Users uploading documents containing highly sensitive personal information should exercise caution and review documents carefully before uploading. Due Dili is not liable for any PII that is not successfully redacted by the automated system.

6. Pro Tier Features & Lead Generation

Pro subscribers gain access to lead generation features, including the ability to receive contact submissions from other users interested in professional real estate services. By subscribing to the Pro tier, you agree to:

• Maintain an accurate and up-to-date professional profile.
• Respond to leads in a professional and timely manner.
• Not use lead information for spam, harassment, or any purpose other than legitimate professional follow-up.
• Comply with all applicable laws regarding unsolicited communications.

Due Dili does not guarantee any specific number of leads or business outcomes for Pro subscribers. The value of the Pro tier is based on access to features and visibility, not guaranteed results.

7. Prohibited Conduct

You agree not to use the Service to:

• Upload fraudulent, forged, or misleading documents.
• Impersonate another person or entity.
• Harass, threaten, bully, or discriminate against any user.
• Violate any applicable local, state, or federal laws or regulations.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Upload malware, viruses, or any malicious code.
• Scrape, crawl, or automate access to the Service without prior written permission.
• Interfere with the normal operation of the Service or other users' access.
• Collect or harvest any personally identifiable information from other users without consent.
• Use the Service for any purpose that violates the spirit of real estate transparency.

8. Intellectual Property

The Due Dili platform, including its logo, design, features, and functionality, is owned by Due Dili and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on Due Dili's intellectual property without prior written permission.

User Content uploaded to the platform remains the intellectual property of the uploader. Due Dili does not claim ownership of User Content.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Due Dili does not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Any results obtained from using the Service will be accurate or reliable.
• The quality of any documents, information, or other materials accessed through the Service will meet your expectations.
• The AI-powered PII redaction will be 100% accurate or complete.
• Documents uploaded by other users are accurate, legitimate, or legally valid.

Due Dili is a platform that facilitates document sharing. It is not a real estate brokerage, legal service, or financial advisor. Users should not rely solely on documents available through Due Dili for real estate decisions and should conduct their own independent due diligence.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Due Dili shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Due Dili's total liability to you for any cause of action shall not exceed the total amount paid by you to Due Dili in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Due Dili and its operators from any claims, damages, or expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or class action lawsuit.

13. Termination

Due Dili may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

You may delete your account at any time through your account settings. Upon account deletion, your personal data will be removed in accordance with our Privacy Policy. Uploaded documents may be retained if required by law or if other users have interacted with them.

14. Changes to Terms

Due Dili reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
